How We Can Be of Service

We provide a full range of appraisal services from a Basic Letter Appraisal to a CALCULATION REPORT to a CERTIFIED BUSINESS APPRAISAL. There is a fixed fee for each level of service. To better assess your needs, we offer a free one-half hour consultation to review your particular assignment. Tangible asset and intellectual property valuations may be required as well. There is NO OBLIGATION for this initial interview. Our standard fees for these services are listed below. The fees may need to be modified to compensate for the special characteristics of your assignment.

Fee structure

THE BUSINESS PURCHASE or SALE CONSULTATION

involves the determination of TRUE NET PROFIT or owner’s discretionary cash flow, a comparison to BIZCOMPS® market data, a premises lease review, and determination of buyer’s return on investment or cash on cash return.
Total Fee $1,200.00

THE BASIC BUSINESS APPRAISAL

involves the examination of one to three years’ profit/loss statements and the determination of ADJUSTED NET EARNINGS. It does not include the verification of financial information supplied by the owner or verification of the value of fixtures furniture and equipment and is not suitable for Internal Revenue or Court purposes.

THE CALCULATION REPORT

is a valuation that includes a review of 3 to 5 years’ financial statements, recasting of profit/loss statements to find discretionary profit, an analysis of the balance sheet and depreciation schedule including adjustment of machinery and equipment to Fair Market Value, the use of as many approaches to valuation as practical, reconciliation of the approaches used, application of MINORITY or MARKETABILITY DISCOUNTS and a post valuation meeting with the client.

THE SHORT FORM BUSINESS APPRAISAL IS A CERTIFIABLE

appraisal that includes a statement of purpose and function, an analysis of national, local and industry economies, a review of 3 to 5 years’ financial statements, recasting of profit/ loss statements, recasting of profit/loss statements to find discretionary profit, an analysis of the balance sheet and depreciation schedule including adjustment of machinery and equipment to Fair Market Value, the use of as many approaches to valuation as practical, reconciliation of the approaches used, and a post valuation meeting with the client.
Total Fee $5,600.00

THE COMPREHENSIVE BUSINESS APPRAISAL IS A CERTIFIED

appraisal that includes a statement of purpose and function, an analysis of national, local and industry economies, a review of 3 to 5 years’ financial statements with comparison to tax returns, recasting of profit and loss statements, an analysis of the balance sheet and the depreciation schedule including adjustment of machinery and equipment to FAIR MARKET VALUE, the use of as many approaches to valuation as practical including Discounted Future Earnings and Market Data or Guide Line Company approaches, reconciliation of approaches used, application of minority or marketability discounts, and a post valuation meeting.

How quickly we can perform

Most appraisals can be performed in 1 to 4 weeks from the date the required financials and other documents are received. On engagement, you will be given a document list based on the work required. Occasionally, after reviewing the initial documents, other documents will be required. Performance time is based on the actual time available to work once all documents are received. Every effort will be made to complete the appraisal by the agreed date.

Jack Sanders is Managing Director of SPECTRUM CORPORATE RESOURCES, LLC, President of MidMarket Corporate Services, Inc. and President of Corporate M&A Advisors, Inc. He joined SPECTRUM CORPORATE RESOURCES as Senior Associate in 1997, specializing in middle-market mergers and acquisitions NATIONWIDE. He was promoted to President/Manager in 2001 and purchased the company in 2003. He has been an active full-time business intermediary since 1985. He has personally handled over 140 business transfers and has appraised over 2,000 businesses. His focus has been on manufacturing, wholesale/distribution and business to business service businesses. Prior to entering the business intermediary profession, Mr. Sanders was President and Chief Executive Officer of the PACIFIC ENGINEERS’ Companies, an engineering firm whose operations had over 250 employees in four subsidiaries and covered seven states, primarily providing engineered facilities to local and federal governmental agencies.

Mr. Sanders spent Sixteen Years with Page Olson Commercial Brokerage in San Diego, California, as a Broker Associate. He developed the capability of providing Certified Business Valuations for business owners and other authorities needing to place a value on the INTANGIBLE ASSETS of a business without an anticipated sale.

Mr. Sanders is also the author of the “BIZCOMPS®” studies, a leading authority on the market value of small and medium businesses in the United States and Canada. The studies contain actual transaction information on over 15,000 transactions and are marketed in both print and electronic form. He frequently gives presentations at professional seminars and conferences and is an instructor in educational courses leading to the Certified Business Intermediary designation.

Jack is a member of the Association for Corporate Growth, the Alliance of Merger and Acquisition Advisors, and the National of Certified Valuators and Analysts. He has both Bachelor's and Master's degrees in Business Administration.
